»Conflicts of Interest at the Board Level of a German Stock Corporation« The study addresses the question of i) under what circumstances a board member of a German stock corporation will experience a legally relevant conflict of interests with his official duties and ii) what legal consequences such a conflict will have for his authority and duties to manage the company as well as for his liability. To this end, the author develops a uniform, consistent and pragmatic solution.
