»The Existential Threat of Liability to Executive Board Members under the Current German Stock Corporation Act and the Limitation of such Liability by the Use of a Provision in the Articles of Association« The author examines the possibility of limiting the liability of executive directors in cases of negligent duty of care and duty of loyalty breaches. Although contrary to the prevailing view, the core contention of the thesis is that such liability, when applied to a German stock corporation, could be limited by the inclusion of a provision stating a maximum liability in the articles of association. It is further stated that such a liability limit is consistent with the present German Stock Corporation Act (Aktiengesetz) and would therefore constitute an effective instrument for limiting the existential threat such liability poses to executive board members.
